Key Updates from Circular No. 32/2025/TT-BTC on E-Invoices

On May 31, 2025, the Ministry of Finance officially issued Circular No. 32/2025/TT-BTC, guiding the implementation of several provisions under the Law on Tax Administration 2019 and replacing Circular No. 78/2021/TT-BTC. The following are the major updates, effective from June 1, 2025:

1. E-Invoice Regulations – Expanded and Updated:

  • The third party authorized to issue e-invoices is no longer required to have an affiliated relationship with the seller.

  • New invoice codes and classifications introduced.

  • E-invoices can now be generated directly from point-of-sale (POS) cash registers.

2. Extended Scope of E-Invoice Application:

Includes industrial catering services, derivatives, activities at the Commodity Exchange, financial leasing, and transactions with high volume or frequency.

3. VAT Invoice cum Tax Refund Declaration:

The document is divided into three parts and jointly prepared by the seller, customs authority, and commercial bank acting as a refund agent.

4. Handling of Incorrectly Issued Invoices:

Sellers and buyers must prepare a written agreement clearly stating the error and issue a replacement e-invoice with appropriate annotations.

5. Digital Signing After Invoice Creation:

The time for digital signing and submission to the tax authority may differ from the invoice issuance time, but must not be later than the next working day.

6. High-Risk Taxpayer Criteria for E-Invoice Registration:

Circular 32 introduces five criteria to identify taxpayers at high risk, including suspected fraud, unclear business addresses, and inactive tax status.

7. Electronic PIT Withholding Certificate:

From June 1, 2025, organizations must use the new electronic certificate in accordance with Decree No. 70/2025/ND-CP. Previously issued certificates with errors must be replaced with compliant electronic documents.
